4. Client responsibilities

  • Ensure you have rights to share code, data, and environments with us.
  • Provide timely feedback and approvals to avoid delivery delays.

5. Fees and payments

  • Pricing and milestones are defined in written commercial terms.
  • Invoices are payable as agreed in the applicable proposal or contract.
  • Late payment may delay delivery or access to work outputs.

6. Confidentiality

Both parties agree to protect confidential information shared during pre-sales and delivery. Additional confidentiality obligations may be defined in an NDA or master services agreement.

7. Intellectual property

  • Each party retains ownership of its pre-existing intellectual property.
  • Ownership and license terms for project outputs are governed by signed commercial agreements.
  • DTDesk branding, website content, and original materials remain our property unless explicitly agreed otherwise.

8. Acceptable use

You agree not to misuse the website or services, including attempts to:

  • Gain unauthorized access to systems.
  • Interfere with service availability or security.
  • Use the website for unlawful, abusive, or fraudulent purposes.

9. Third-party tools and links

We may use or recommend third-party platforms. Their availability and terms are controlled by those providers.

10. Disclaimers

Services are provided on a commercially reasonable basis. Unless explicitly stated in a signed agreement, we do not guarantee specific business outcomes, revenue impact, or uninterrupted operation.

To the maximum extent permitted by law, our total liability for claims related to services is limited to fees paid for the relevant services giving rise to the claim.

These Terms are governed by the laws of India. Courts in Pune, Maharashtra, India will have jurisdiction, unless otherwise agreed in writing.
